Association of Telecommunications System ManagementConstitutionAdopted November 17, 1999We, the undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Telecommunications System Management, do hereby constitute ourselves the Association of Telecommunications System Management, hereinafter referred to as the Association or ATSM, and enact this Constitution as our governing law. It shall be our purpose to facilitate the exchange of fraternalism and individual operation efficiency, and to so conduct Association programs and activities as to advance the general interest and welfare of Telecommunications System Management in the general community. Article ISection 1: All persons interested in Telecommunications System Management shall be eligible for membership. Membership shall be by application and election upon such terms as the Association shall provide. Section 2: Applications for membership shall be submitted at a regular meeting in writing and each application must express the willingness of the applicant to abide by the Constitution and Bylaws and such rules as shall from time to time be promulgated by the Association. There shall be two classes of membership: a. Full - Applicant must be associated with Murray State University as Faculty, Staff, or an enrolled student, b. Associate Applicant must be interested in Telecommunications System Management and must desire to participate actively in Association activities and. A member shall have either active or inactive status. A member will become inactive for failure to pay dues for the current year. An inactive member can be reinstated as an active member by payment of dues during the year on which that member became inactive. Article IISection 1. The officers of this Association shall be: A President, a Vice - President, a Secretary, a Treasurer, a Public Relations Officer, and a Technical Officer. Section 2. The officers of ATSM shall be nominated for office at the first monthly meeting in April every year. The officers of this Association shall be elected for a term of one (1) year by a majority ballot of all active members present at the second monthly meeting in April. Candidates for office must be active full members of the Association. Section 3. Vacancies occurring between elections must be filled by a special ballot, at the first regular meeting at which the withdrawal or resignation is announced. Section 4. Officers may be removed on motion be a three-fourths vote of the active membership. Article IIISection 1. The President shall preside at all meetings of the Association and conduct the same according to the rules adopted; enforce due observance of this Constitution and Bylaws; decide all questions of order; sign all official documents that are adopted by the Association; perform all customary duties pertaining to the office of President. Section 2. The Vice - President shall assume all the duties of the President in absence of the President. Section 3. The Secretary shall keep a record of the proceedings of all meetings; read a roll of members; submit applications for membership; carry on correspondence; read correspondence received at each meeting; provide written notices to each member of any special meetings, when necessary. It shall be the duty of the Secretary to keep the Constitution and Bylaws of the Association of Telecommunications System Management and have the same present at every regular and special meeting. The Secretary shall cause all amendments, changes, and additions to be noted thereon and shall permit the same to be consulted by the members upon request. Section 4. The Treasurer shall receive and receipt for all moneys received and expended; pay recurring bills, once authorized, as received without the need for additional approval. Expenditures from this fund will require the same receipts as the regular account. Before the end of each yearly term of office, the Treasurer shall submit an itemized statement of disbursements and receipts. At the expiration of the Treasurer's term of office, the outgoing treasurer shall turn over everything in his possession belonging to the Association to his successor. Section 5. The Public Relations officer shall direct all matters relating to or involving advertising or sponsorship. The officer shall be an established link between ATSM and the entities surrounding ATSM. Section 6. The Technical officer shall manage all matters corresponding to the technical arena. The officer shall be responsible for the creation of and maintenance of ATSM publications, communications, and equipment. Section 7. The officers herein defined, in consultation with the Association Sponsor and when appropriate, constitute an Executive Council. The Executive Council will meet as needed to organize and plan the meeting agendas and suggested Association activities. The Executive Council may authorize the Treasurer to disburse for purchases up to $50.00 between consecutive meetings of the Association. Such purchases will be reported to the general membership at the next meeting. All actions of the Executive Council are subject to review and approval of the membership. Article IVThe Bylaws shall provide for regular and special meetings. At meetings, one-third of the active membership shall constitute a quorum for the transaction of business. Article VThe Association of Telecommunications System Management, by two-thirds vote of those present at any regular meeting, may levy upon the general active membership such dues or assessments as shall be deemed necessary for the business of the organization within the objectives set forth in the preamble thereof. Non-payment of such dues or assessments shall be cause for expulsion from the activity, within the discretion of the active membership. Article VIThis Constitution may be amended by a two-thirds vote of the active members present at a regular meeting. Proposals for amendments shall be submitted in writing at a regular meeting and may not be voted on until the next regular meeting. Article VIIThe Association shall abide by all federal, state, local, and university laws and regulations. ATSM will not condone malicious or illegal activity, and such activity shall constitute immediate grounds for dismissal from the Association. Any member may be removed from the Association for violation of the Association constitution and/or any federal, state, local, and university law or regulation, by a three-fourths vote of the active membership. Article VIIIRobert's Rules of Order shall govern proceedings. Article IXSection 1. All actions and activities of this Association are to be subject to review and approval of the Association Sponsor. Section 2. The Association Sponsor shall be selected jointly by Murray State University and the ATSM. Any Sponsor, of ATSM, selected should be an active member in the field of Telecommunications System Management, and must be a member of the Murray State University faculty or staff. The Sponsor will aid and guide the Association as expected by Murray State University. By-Lawsas amended on November 17, 1999
Section 1. The Bylaws may be amended by a two-thirds vote of the active members present at any regular meeting, or a special meeting where such a revision is part of the announced business. Proposals must be submitted in writing and are not effective until after the close of the meeting. Section 2. Regular meetings shall be held on the first and third Wednesday of each month at 3:30 PM in the Freed Curd Auditorium of the Collins Center for Industry and Technology at Murray State University or at another designated location. Special meetings may be called by the President as the need arises. Notices shall be sent to all the members informing them of the special meetings and the business to be transacted. Such notices shall arrive at least twenty-four hours before the time therein set for the meeting. Section 3. Regular dues of $30 per school year or $20 for a semester for all members, to be prorated for an initial membership later in the year, are hereby assessed in accordance with the provision of Article V of the Constitution for the purpose of providing funds for current expenses. Section 4. Program Committee. This committee shall consist of the Public Relations officer as chair, and any additional members appointed by the Public Relations officer. This committee shall be responsible for preparing programs and/or entertainment for the regular meetings of the club. Section 5. Knowledge Development Committee. This committee shall consist of the Vice-president as chair, and any additional members appointed by the Vice-president. This committee shall exist for the purpose of furthering the knowledge of ATSM members in the field of Telecommunications System Management and certifications relating to the field. Section 6. Special Committees for Special Work. These committees shall consist of club members elected or appointed by club officers as the need arises. Section 7. Committees-In-General. As the need arises, a committee may solicit the assistance of competent personnel either from club members or the public in general with unanimous approval of said committee. Section 8. Use of Facilities and Equipment. Any and all members of ATSM shall return all facilities and equipment used to original/normal state. |
